4. Officers and Management
4.1 The Association is managed by an Executive Committee.
4.2 The Executive Committee is comprised of a Chairman, two Vice-Chairmen, a Treasurer, a Secretary (the aforementioned to be known as the Officers of the Association) and three ordinary members. For an initial period of 5 years only representatives of Founder Members can hold the offices of Chairman and Vice Chairman.
4.3 The Executive Committee must be elected at the annual general meeting in each year, and subject to termination of office by resignation, removal or otherwise, the members remain in office until their successors are elected at the annual or a special general meeting following their election.
4.4 The Executive Committee may fill any casual vacancy that occurs.
4.5 At least one of the three Ordinary Membership positions on the Executive Committee will be reserved for a representative of a partner University of one of the member institutions.
4.6 Retiring members of the committee may be re-elected.
4.7 Each member institution has for the purposes of electing the Officers and Executive Committee members one vote.
5. Subscriptions
5.1 The annual subscription is £1,000 per member institution.
5.2 Subscriptions are due on 31st October in every year.
5.3 A member institution whose current subscription has not been paid before 31st October in any year and who neglects to comply with a written request for payment within 28 days after it has been sent to him will be referred by the Treasurer to the Executive Committee.
5.4 Such a member institution ceases to be a member on the expiration of a further 14 days unless a reason, satisfactory to the Executive Committee, is given for the delay.
6. Application for Membership
6.1 Every candidate for ordinary membership must be proposed and seconded by a Foundation member.
6.2 All applications for membership must be made in writing by the Chief Executive/Principal of the institution in question and must be signed by the Chief Executive/Principal of the Foundation members proposing and seconding the application.
6.3 Election of a new member is at the discretion of the Executive Committee.
6.4 An interval of at least 28 days must elapse between submission of an application for membership and election as a member.
7. Resignation
A member wishing to withdraw from the Association must give notice in writing to the Secretary on or before 31st October in any year, otherwise the subscription for the ensuing year must be paid.
