8. Withdrawal of Membership

8.1 The Executive Committee may withdraw membership from any institution who no longer meets the requirements of membership as defined in para 3 above or whose conduct, in the opinion of the Executive Committee, renders it unfit for membership of the Association.

8.2 Before membership is withdrawn, the Secretary must give the institution in question 28 days written notice to be represented at a meeting of the Executive Committee and must inform it of the complaints/matters made against it.

8.3 No member institution may have its membership withdrawn UNLESS it has first had an opportunity to appear before the Executive Committee and answer complaints made against it and at least ?rds of the Committee then present vote in favour of its expulsion.

9. Alteration of Objects and Membership Criteria

The Executive Committee may alter the objects of the Association and the membership criteria PROVIDED such alterations are supported by at least [? rds] of the Committee then present. Further, no such alterations take effect until it has been confirmed at the next annual general meeting or a special general meeting convened for the purpose.

10. General Meetings

10.1 A general meeting of the Association must be held in every year not later than (date) and must:

10.1.1 receive and, if approved, adopt a statement of the Association’s accounts to the end of the preceding year;

10.1.2 consider and, if approved, sanction any duly made alteration of the objects/membership criteria;

10.1.3 appoint the officers and other members of the Executive Committee;

10.1.4 appoint an auditor or auditors;

10.1.5 deal with any special matter which the Executive Committee desires to bring before the members and receive suggestions from the members for consideration by the Executive Committee.

10.2 Notice convening the general meeting must be sent to the members not less than 10 working days before the meeting and must specify the matters to be dealt with.

11. Special General Meetings

11.1 A special general meeting may be convened at any time by the Executive Committee and must be convened within 21 days from receipt of a requisition in writing signed by not less than (three members including not less than two Foundation members) members specifying the object of the meeting.

11.2 A special general meeting may be convened:

11.2.1 to consider and, if approved, sanction any duly made alteration of the objects/membership criteria;

11.2.2 to deal with any special matter which the Executive Committee wishes to place before the members;
